Newsmax Inc.

Newsmax Inc. is a holding company that owns Newsmax Media, Inc., its operating company, and its subsidiaries. Newsmax Media and its subsidiaries conduct the company's business operations. Newsmax Media has six wholly-owned Florida limited liability company subsidiaries: Newsmax Broadcasting, LLC, Newsmax Radio LLC, Crown Atlantic Insurance, LLC, Humanix Publishing, LLC, Medix Select, LLC, and ROI Media Strategies, LLC. Newsmax Media was initially incorporated as Sequoia Digital Corporation in Nevada in 1998. It changed its name to Newsmax.com, Inc. in 1999, and then to Newsmax Media, Inc. in 2001. In 2006, Newsmax Media became a wholly-owned subsidiary of NMX Holdings, LLC. In 2014, Newsmax Media changed its state of domicile from Nevada to Delaware and underwent a corporate reorganization where NMX Holdings, LLC members exchanged their interests for Newsmax Media capital stock. In 2024, Newsmax Inc. was formed as a new holding company, and Newsmax Media stockholders exchanged their shares for Newsmax Inc. shares. Newsmax Media subsequently changed its state of domicile from Delaware to Florida. This reorganization made Newsmax Inc. the direct holding company and sole shareholder of Newsmax Media, without affecting Newsmax Media's ownership of its subsidiaries. On March 28, 2025, all shares of Series A-1 Preferred Stock, Series A-2 Preferred Stock, and Series A-3 Preferred Stock automatically converted into Class A Common Stock, and all Series B Preferred Stock automatically converted into Class B Common Stock.
