NewHold Investment Corp. III

NewHold Investment Corp III is a blank check company, incorporated in the Cayman Islands, established to complete a business combination such as a merger, amalgamation, share exchange, asset acquisition, share purchase, or reorganization with one or more businesses. On March 3, 2025, the company completed its initial public offering (IPO) of 20,125,000 units, which included the underwriter's full exercise of an option for up to 2,625,000 units to cover over-allotments. Each unit, sold at $10.00, consists of one Class A ordinary share, par value $0.0001 per share, and one-half of one redeemable warrant. Each whole warrant allows the holder to purchase one Class A ordinary share for $11.50 per share. The IPO generated gross proceeds of $201,125,000. Concurrently with the IPO closing, the company completed a private placement of 780,100 units to the Sponsor and BTIG, LLC, the underwriters' representative, at $10.00 per unit. Of these, the Sponsor purchased 552,600 units and BTIG, LLC purchased 227,500 units. Each private placement unit also consists of one Class A ordinary share and one-half of one redeemable warrant, with each whole warrant exercisable to purchase one Class A ordinary share. The warrants in the private placement units are identical to those in the IPO units, with exceptions as disclosed in the SEC registration statement. No underwriting discounts or commissions were paid for this sale, which was made under the exemption from registration in Section 4(a)(2) of the Securities Act of 1933, as amended.
