MID PENN BANCORP INC

Mid Penn Bancorp, Inc. is a financial holding company incorporated in August 1991 in the Commonwealth of Pennsylvania. The company's primary business is to supervise and coordinate the operations of its wholly-owned bank and nonbank subsidiaries, providing them with capital and resources. Its consolidated financial results are almost entirely derived from Mid Penn Bank, which is managed as a single business segment. In addition to Mid Penn Bank, Mid Penn Bancorp, Inc. maintains six wholly-owned nonbank subsidiaries. These include MPB Financial Services, LLC, which acts as a mid-tier holding company for MPB Risk Services, LLC, a licensed insurance producer. Other subsidiaries are MPB Acquisition Sub I, LLC, formed for the acquisition of Cumberland Advisors, LLC; MPB Wealth Management, LLC, which stopped operating in the first quarter of 2024; MPB Launchpad Fund I, LLC, created for financial holding company eligible investments; and MPB Realty Holding, LLC, formed to hold assets acquired from previously contracted debts. As of December 31, 2025, the activities of these nonbank subsidiaries were not significant enough to require separate disclosure or segment reporting. As of December 31, 2025, Mid Penn Bancorp, Inc. had total consolidated assets of $6.1 billion, total deposits of $5.2 billion, and total shareholders' equity of $814.1 million. The holding company and its nonbank subsidiaries owned $7.8 million of foreclosed real estate as of December 31, 2025, and did not own or lease any other real property. The Bank owns or leases its banking offices.
