MINISO Group Holding Ltd

Miniso commenced business operations in 2013. Miniso (Guangzhou) Co., Ltd., a PRC holding company and major operating entity in China, was established in October 2017. Businesses, assets, and liabilities from a predecessor entity in China were transferred to Miniso Guangzhou and its subsidiaries between November 2017 and November 2018. Miniso Guangzhou also acquired equity interests in certain companies controlled by Mr. Guofu Ye. In December 2017, Miniso Guangzhou established Miniso (Hengqin) Enterprise Management Co., Ltd. in China, which licenses the right to use Miniso trademarks in China. In May 2018, Miniso Guangzhou acquired all equity interest in Miniso International (Guangzhou) Co., Ltd., established in China in May 2017, and Miniso Youxuan Technology (Guangzhou) Co., Ltd., a wholly-owned subsidiary of Miniso International established in China in August 2017. Miniso International primarily conducts international trade businesses, while Miniso Youxuan and its subsidiaries are responsible for e-commerce initiatives. From September 2018 to September 2019, Miniso acquired 67% of the equity securities of PT. Miniso Lifestyle Trading Indonesia, established in January 2017 in Indonesia; established MIHK Management Inc. as the holding company for Canadian operations; acquired 100% of the equity securities of USA Miniso Depot Inc., established in the United States; and acquired 100% of the equity securities of Miniso Life Style Private Limited, established in June 2017 in India.
