MHL is a company that provides a comprehensive range of services and solutions for aquaculture and agriculture farms. The company's history dates back to September 2020 when MMSB was established to focus on the development, construction, and maintenance of aquaculture farms and related works. MHL has since expanded its services to include the upgrading and maintenance of existing aquaculture and agriculture farms, the design and development of new aquaculture and agriculture farms, and the sourcing of industrial supplies and rental of machinery for agriculture and aquaculture purposes. MHL was incorporated in the Cayman Islands on December 7, 2022, as an exempted company with limited liability. Its authorized share capital was US$50,000.00, divided into 500,000,000 shares of a nominal or par value of US$0.0001 each upon incorporation. On May 15, 2023, one share of US$0.0001 nominal or par value was transferred to SSL for a total consideration of US$0.0001. On July 31, 2024, MHL entered into a share swap agreement with the shareholders of MMSB (SSL, USSB, YHCML, ECGL, KLSB, KBSB, Malama, and SJCC) to acquire 100% of the issued share capital of MMSB as part of a company reorganization.
