We are a blank check company, incorporated on March 12, 2024, as an exempted company in the Cayman Islands. Our purpose is to complete a merger, share exchange, asset acquisition, share purchase, reorganization, or similar business combination with one or more businesses. We have not yet engaged in any operations or generated any revenue. We were formed as an independent company by executives from M3 Partners, LP and Brigade Capital Management, LP. M3 Partners is a financial advisory firm that provides services to companies at critical growth stages. Brigade is a global investment advisor, founded in 2006, specializing in credit-focused investment strategies with approximately $27 billion in assets under management. Both M3 Partners and Brigade have committed to supporting our efforts to achieve a successful initial business combination. The M3 Partners team has completed hundreds of engagements, assisting stockholders, creditors, and companies in maximizing business and asset value. Brigade offers nearly 20 years of fundamental credit research, driven by a disciplined investment process proven across various market cycles. Our leadership team previously organized M III Acquisition Corp., M3-Brigade Acquisition II Corp., M3-Brigade Acquisition III Corp., and M3-Brigade Acquisition IV Corp. The team managed M III Acquisition Corp. through an initial business combination in March 2018, creating Infrastructure and Energy Alternatives, Inc. (IEA). IEA, an engineering, procurement, and construction company specializing in renewable energy infrastructure, was acquired by MasTec Inc. on October 7, 2022, for $1.1 billion. M3-Brigade Acquisition III Corp. completed its initial business combination with Greenfire Resources in September 2023, valuing Greenfire at $950 million.
