Grayscale Litecoin Trust

Grayscale Litecoin Trust is a Delaware Statutory Trust formed on January 26, 2018. The Trust's primary purpose is to hold Litecoin ("LTC"), which are digital assets created and transmitted via the peer-to-peer Litecoin Network. This network is a decentralized system of computers operating on cryptographic protocols. The Trust issues common units of fractional undivided beneficial interest, referred to as "Shares," which signify ownership in the Trust. These Shares are issued periodically to "accredited investors" as defined by Rule 501(a) of Regulation D under the Securities Act of 1933, as amended, in exchange for deposits of LTC. The Shares are quoted on OTC Markets Group Inc.'s OTCQX® Best Market under the ticker symbol "LTCN." Grayscale Investments Sponsors, LLC, a consolidated subsidiary of Digital Currency Group, Inc., acts as the sponsor of the Trust. CSC Delaware Trust Company serves as the trustee, Continental Stock Transfer & Trust Company is the transfer agent, and Coinbase Custody Trust Company, LLC is the custodian. In September 2025, the Trust filed a registration statement on Form S-3 under the Securities Act of 1933 for a proposed public offering and listing on NYSE Arca, Inc. As of the date of this filing, the Form S-3 has not been declared effective, and the Trust's shares are currently offered only through private placements and publicly traded on OTC Markets.
