LIFETIME BRANDS, INC

The Company designs, sources, and sells branded kitchenware, tableware, and other home solution products for use in the home. It markets products under its owned or licensed brand names and trademarks, or through retailers' private labels and licensed brands. The Company's products are primarily aimed at consumers buying moderately priced kitchenware, tableware, and housewares, and are sold through virtually every major level of trade. The Company generally markets multiple lines within each product category under more than one brand. Products are sold directly to retailers, who may resell them through their websites, and to a lesser extent, to distributors. A limited selection of products is also sold directly to consumers through the Company's own websites. The Company's product categories include Kitchenware (kitchen tools, cutlery, kitchen scales, thermometers, cutting boards, shears, cookware, pantryware, spice racks, and bakeware) and Tableware (dinnerware, stemware, flatware, and giftware), both used to prepare, serve, and consume foods. The third category, Home Solutions, includes other products for the home (thermal beverageware, bath scales, weather and outdoor household products, food storage, neoprene travel products, and home décor). The Company has an international presence through subsidiaries and affiliate companies outside the United States. In Europe, it operates two wholly-owned subsidiaries to sell products in the United Kingdom ("U.K.") and European Union countries. International brand development, design, administrative teams, and distribution operate from a facility in Aston, England, and a third-party distribution facility in Rotterdam, Netherlands.
