We are a newly formed blank check company, incorporated in the Cayman Islands, established to complete a merger, share exchange, asset acquisition, share purchase, reorganization, or similar business combination with one or more businesses. We have not yet identified any specific target for a business combination and have not started any discussions with potential targets. While we may pursue acquisitions in any industry, we plan to focus on sectors where our management team, board of directors, and founders' expertise can provide a competitive advantage. Specifically, we intend to seek opportunities in the emerging field of Physical AI, which combines advanced robotics, machine learning, sensor fusion, and biomechanical engineering. We believe humanoid robotics will be transformative in industries like manufacturing, logistics, eldercare, domestic services, and hazardous environment operations, as autonomous systems become more capable of interacting physically. These intelligent machines can process information, navigate, and manipulate complex physical environments with dexterity and awareness. We believe advancements in compute power, real-time AI, battery technology, and mechanical design are making Physical AI a foundational element for the future economy and workforce. Additionally, we plan to target opportunities in the advanced energy sector, particularly focusing on small modular nuclear reactors (SMRs) and related technologies.
