We are a blank check company, incorporated on July 28, 2025, as an exempted company in the Cayman Islands. Our purpose is to complete a business combination, such as a merger, acquisition, or reorganization, with one or more businesses or entities. While we can pursue an initial business combination in any industry, we plan to focus on companies within the digital asset ecosystem. Our goal is to accelerate growth for teams building connections between decentralized finance (DeFi) and traditional finance (TradFi). We expect to target companies developing core infrastructure for the digital asset economy, including payment networks, tokenization platforms, blockchain infrastructure, and compliance solutions. Although we can consider opportunities in any sector, we believe the most significant opportunities are where DeFi and TradFi converge. We are currently reviewing various potential business combination opportunities but cannot confirm if we will complete a combination with any specific target business. We intend to fund our initial business combination using cash from our Initial Public Offering and the sale of private placement shares, our shares, debt, or a mix of these. Due to our current business activities, we are considered a "shell company" under the Securities Exchange Act of 1934, as amended, as we have no operations and only nominal assets, primarily cash. Our Sponsor was formed through a partnership with Payward, Inc.
