Kisses from Italy Inc.

Kisses From Italy Inc. develops and operates a fast, casual food dining chain restaurant business. The company was incorporated in Florida on March 7, 2013, and operates through wholly-owned subsidiaries: Kisses From Italy 9th LLC, Kisses From Italy-Franchising LLC, and Kisses From Italy, Inc. (Canada), which was incorporated in Canada and registered in Quebec on December 23, 2020. The company aims to expand through corporate-owned restaurants and a nationwide/international franchise and territory sales program. Kisses From Italy commenced operations in May 2015 with its first location in Fort Lauderdale, Florida, which remains its only operating restaurant as of the date of this Annual Report. In 2016, the company opened three additional restaurants in Wyndham Hotel properties in the Pompano Beach, Florida area, but these are no longer operational. One restaurant was vacated in December 2017 due to a hurricane. In June 2021, two Wyndham restaurants were consolidated into one location. In May 2023, the company decided not to renew a lease at the Wyndham Palm Aire location and closed operations there. The company opened a European location in Ceglie del Campo, Bari, Italy, in October 2019. This Bari location closed in April 2020 due to the Covid-19 pandemic, briefly re-opened, and permanently closed on December 31, 2023. This location was intended as a distribution center for future European products and a training facility for European franchises, but this initiative was curtailed by Covid-19. The company's relationship with MediaCom SAS for European product distribution and importing remains, with the distribution hub moved to Naples, Italy, at MediaCom SAS offices.
