Wright Investors' Service Holdings, Inc. was incorporated on March 10, 1998. The Company's common stock is traded on the OTC Markets Group Inc. (OTC Pink Sheets) under the symbol "iWSH". The Company currently has a substantial portion of its assets consisting of short-term investments in money market mutual funds with minimal cash balances. The Company has no or nominal operations and is defined as a "shell company" under Rule 405 of the Securities Act of 1933 and Rule 12b-2 of the Securities Exchange Act of 1934. As a shell company, its stockholders cannot use Rule 144 of the Securities Act to sell "restricted stock" or other Company stock, and the Company cannot use registration statements on Form S-3 or Form S-8 while it remains a shell company. The Company is not engaged in the business of investing, reinvesting, or trading in securities, and it does not present itself as being involved in these activities. However, under the Investment Company Act of 1940, a company can be considered an "inadvertent investment company" if the value of its investment securities is more than 40% of its total assets (excluding government securities, cash, and certain cash equivalents).
