Our Company is a blank check company incorporated on July 3, 2025, as a Cayman Islands exempted company. The company has not yet selected a business combination target and has not initiated any substantive discussions with any potential targets. While it may pursue a target in any business or industry, the company intends to search for businesses with an enterprise value exceeding $500 million. These businesses are expected to be in the asset management, leisure, hospitality, catering, travel, entertainment, gaming, lifestyle, and related services sectors, driven by next-generation technologies including AI and digital assets. They should also have a material business positioning in the United States, Latin America, European markets, and beyond. The company's strategy is to identify a private company in these target sectors with a sound business and operating model and prospects, at an attractive valuation compared to publicly-traded companies in the same sector. The company aims to source business combination opportunities through its management team's extensive business networks and proprietary channels, including investors, business owners, operators, financial institutions, board members, executives, lawyers, brokers, and other real estate advisors.
