Inflection Point Acquisition Corp. VII

Inflection Point Acquisition Corp. VII is a blank check company incorporated on April 3, 2025, as a Cayman Islands exempted company. The company was formed with the sole purpose of completing a Business Combination with one or more businesses or entities. It has the flexibility to pursue an initial Business Combination in any business or industry. To date, the company's activities have been limited to organizational tasks, activities related to its Initial Public Offering, and the search for and consummation of a Business Combination. As of the date of this Report, Inflection Point Acquisition Corp. VII has not yet selected any specific Business Combination target. The company has not generated any operating revenues and does not expect to do so until it completes its initial Business Combination. The company's IPO Registration Statement became effective on January 30, 2026. On February 12, 2026, Inflection Point Acquisition Corp. VII completed its Initial Public Offering of 23,000,000 Units, which included 3,000,000 Option Units issued from the full exercise of the Over-Allotment Option. Each Public Unit consists of one Public Share and one-third of one Public Warrant, with each whole Public Warrant allowing the holder to purchase one Class A Ordinary Share for $11.50 per share. These Public Units were sold at $10.00 per Public Unit, generating gross proceeds of $230,000,000. Concurrently with the IPO closing, the company sold 665,000 Private Placement Units to the Sponsor and the Representatives at $10.00 per unit, generating gross proceeds of $6,650,000. Of these, the Sponsor purchased 265,000 Private Placement Units and the Representatives purchased 400,000 Private Placement Units. A total of $230,000,000, comprising proceeds from both the Initial Public Offering and the Private Placement, was deposited into a Trust Account managed by Continental, acting as trustee.
