INNEOVA Group is a holding company that, as of the date of this Annual Report, comprises the Company and its subsidiaries: INNEOVA Group, INNEOVA Industrial, INNEOVA Automotive, INNEOVA Engineering, Autozone (S), and INNEOVA Malaysia. INNEOVA Group, incorporated in the British Virgin Islands, is the parent entity of INNEOVA Industrial, INNEOVA Automotive, INNEOVA Engineering, and INNEOVA Malaysia. On April 30, 2025, INNEOVA Group acquired a 100% stake in INNEOVA Engineering Pte Ltd. INNEOVA Industrial, a Singapore company wholly-owned by INNEOVA Group, primarily supplies components and spare parts for internal combustion engines, with a strong focus on filtration products. It serves the marine, energy, mining, construction, agriculture, and oil and gas industries, sourcing products from genuine OEM and global premium brands. INNEOVA Automotive, a Singapore company wholly-owned by INNEOVA Group, manages the retail business in Singapore, having taken it over from Autozone (S). It supplies genuine OEM and aftermarket spare parts to customers through five (5) Autozone (S) retail outlets in Singapore, located near major automotive hubs, and through a distribution company in Malaysia. These parts are for passenger and commercial on-highway vehicles and bear either the manufacturer's brands or INNEOVA's in-house brands.
