International Land Alliance Inc.

International Land Alliance, Inc. (ILAL) is a residential land development company incorporated in Wyoming on September 26, 2013. The company focuses on properties in the Baja California, Northern region of Mexico and Southern California. Its main activities include buying properties, securing zoning and entitlements to subdivide them into residential and commercial building lots, arranging financing for lot purchases, improving infrastructure and amenities, and selling plots to homebuyers, retirees, investors, and commercial developers. On June 30, 2011, International Land Alliance, SA De CV (ILA Mexico) was formed as a Mexican corporation. ILA Mexico acquired 497 acres south of San Felipe, Baja California, known as the Oasis Park project, and 20 acres in Ensenada, Baja California, known as the Valle Divino project, from Baja Residents Club, S.A. On October 1, 2013, Roberto Jesus Valdez, Jason A. Sunstein, and Elizabeth Roemer transferred their interests in the Oasis Park and Valle Divino projects to ILA Mexico in exchange for 7,500 shares of ILA Mexico. On the same date, ILAL issued 75,000 shares of its common stock to Roberto Jesus Valdez, 75,000 shares to Jason Sunstein, and 20,000 shares to Elizabeth Roemer in exchange for all outstanding shares of ILA Mexico, making ILA Mexico a wholly owned subsidiary. Also on October 1, 2013, ILAL entered a promissory agreement with Grupo Jataya, S.A. DE C.V. to acquire 10 acres of land in Ensenada, Baja California, known as the Valle Divino, free of lien and encumbrances, through an irrevocable trust with ILAL as beneficiary. The company's common stock began trading on the OTCQB on April 4, 2019, under the symbol "ILAL," which it received from FINRA on March 5, 2019.
