Inception Growth Acquisition Ltd

Inception Growth Acquisition Limited is a blank check company established to complete a merger, share exchange, asset acquisition, share purchase, reorganization, or similar business combination with one or more businesses or entities. On September 12, 2023, the company entered into a Business Combination Agreement with IGTA Merger Sub Limited, a British Virgin Islands company and its wholly owned subsidiary, and AgileAlgo Holdings Ltd., a British Virgin Islands company ("AgileAlgo"), along with certain shareholders of AgileAlgo (the "Signing Sellers"), who collectively own approximately 88.3% of AgileAlgo's issued and outstanding shares. This agreement may also be joined by other AgileAlgo shareholders ("Joining Sellers," and together with Signing Sellers, the "Sellers"). This agreement outlines a business combination between Inception Growth Acquisition Limited and AgileAlgo. The Business Combination Agreement was amended on June 20, 2024, and December 16, 2024, to extend the closing deadline to March 31, 2025, and to clarify a condition requiring PubCo to list PubCo Ordinary Shares on Nasdaq. On March 27, 2025, Amendment No. 3 to the Business Combination Agreement was executed, further extending the Outside Closing Date to May 31, 2025.
