Our Company is a blank check company, initially formed in Delaware on July 7, 2020, and converted to a Nevada corporation on September 21, 2023. The company's purpose is to complete a merger, share exchange, asset acquisition, share purchase, reorganization, or similar business combination with one or more businesses. While not sector-specific, the management team and board members identify compelling investment opportunities in consumer goods, sports and entertainment, and healthcare technology. The company anticipates targeting businesses domiciled in North America, Europe, and Asia, with an enterprise value of at least $500 million. The management team and board of directors possess significant experience in private investing, corporate finance and restructuring, and executive management across various industries. Their collective network spans North and South America, Asia-Pacific, and Europe. Key members include Adelmo "Al" Lopez, Chairman and Chief Executive Officer, who founded Alma Coffee and previously served as President and CEO of Blair Corporation and CFO of Dole Fresh Fruit International. Christy Albeck, Chief Financial Officer, founded and is Managing Member of Albeck Advisors, a consulting firm, and was previously Founder and CEO of Albeck Financial Services.
