Hennessy Capital Investment Corp. VII

HVII is a special purpose acquisition company (SPAC) incorporated in the Cayman Islands on September 27, 2024. Its primary purpose is to complete an initial business combination, such as a merger, share exchange, asset acquisition, share purchase, or reorganization, with one or more businesses. HVII's initial public offering (IPO) registration statement became effective on January 16, 2025. On January 21, 2025, HVII completed its IPO, selling 19,000,000 units, which included 1.5 million units from the partial exercise of the underwriters' over-allotment option. This generated gross proceeds of $190.0 million, with offering costs of approximately $12.6 million, including $7,600,000 in deferred underwriting commissions. Concurrently with the IPO closing, HVII completed a private placement of 690,000 private placement units at $10.00 per unit to its sponsor and the underwriters, generating $6,900,000. The sponsor purchased 500,000 private placement units, and the underwriters purchased 190,000. Following the IPO and private placement, $190,000,000 ($10.00 per public share) from the net IPO proceeds and some private placement proceeds were placed in a U.S. trust account. These funds are invested in U.S. government treasury obligations with a maturity of 185 days or less, money market funds meeting Rule 2a-7 conditions that invest only in direct U.S. government treasury obligations, and/or deposited in an interest-bearing demand deposit account at a U.S.-chartered commercial bank with consolidated assets of $50 billion or more.
