Hammer Fiber Optics Holdings Corp. operates through its wholly-owned subsidiary, Hammer Fiber Optics Investments, Ltd. (HFOI). HFOI, formed on June 13, 2014, became a subsidiary on April 25, 2016, when the Company acquired 20,000,000 shares of HFOI common stock from its controlling stockholders. In exchange, the Company issued 50,000,000 restricted shares of its common stock to the HFOI Shareholders. Prior to this, the Company's principal activity was the acquisition and exploration of mineral properties, but it was unable to commence exploration activities. On February 2, 2015, the Company acquired 100% of Tanaris Power Holdings, Inc. for shares of the Company's common stock equal to 51% of its issued and outstanding common stock and $350,000 in cash. Tanaris Power Holdings, Inc. held rights related to the marketing and sale of smart lithium-ion batteries and battery technologies for various industrial vehicle markets and related applications. On March 6, 2015, the Company changed its name to Tanaris Power Holdings, Inc. On April 13, 2016, the board approved a merger to change the name from Tanaris Power Holdings, Inc. to Hammer Fiber Optics Holdings Corp., which was accounted for as a reverse merger.
