Hold Me Ltd

Hold Me Ltd. was originally incorporated in Israel on January 29, 2007, as P.M.E SAL Technologies Ltd. and changed its name to Hold Me Ltd. in September 2008. The company initially provided website design and development services until 2011, after which it had no significant business activity until 2018. In 2018, Hold Me Ltd. began developing a mobile-wallet-as-a-service platform for organizations. In 2021, the company received a basic (limited) non-banking credit license, allowing it to provide credit in Israel. In September 2023, Hold Me Ltd. signed an agreement to acquire 100% of the outstanding shares of S.Y. Calimero Entrepreneurship Ltd., an Israeli company with a basic (limited) non-banking credit license, from Yonatan Shachar for NIS 125,000 (approximately USD 32,900). This acquisition closed on March 31, 2024, after the controlling shareholder, Menachem Shalom, received a permit to control the purchased company from the Israeli Authority for Capital Markets, Insurance and Savings. At the time of acquisition, the subsidiary had no assets or liabilities, and the entire purchase amount was attributed to the license, which is valid until December 31, 2026. In 2024, the company generated NIS 55,845 in revenue from a consulting project. On July 24, 2025, Hold Me Ltd. announced a binding letter of intent to acquire Synthetic Darwin LLC, a U.S.-based artificial intelligence company, but the parties mutually decided not to proceed with this transaction.
