HCIC is a newly organized special purpose acquisition company, incorporated on July 15, 2025, in the Cayman Islands. Its purpose is to complete an initial business combination, which could involve a merger, share exchange, asset acquisition, share purchase, or reorganization with one or more businesses. The company's initial public offering (IPO) registration statement became effective on February 4, 2026. On February 6, 2026, HCIC completed its upsized IPO, selling 24.15 million units, which included 3.15 million units from the full exercise of the underwriters' over-allotment option. This generated gross proceeds of $241.5 million, with offering costs of approximately $9.67 million, including $4,830,000 in deferred underwriting commissions. Concurrently with the IPO closing, HCIC completed a private placement of 671,000 private placement units to its sponsor at $10.00 per unit, generating gross proceeds of $6,710,000. Following the IPO and private placement, $241,500,000 ($10.00 per public share) from the net IPO proceeds and some private placement proceeds were placed in a U.S.-based trust account. These funds are invested only in U.S. government treasury obligations with a maturity of 185 days or less or in money market funds meeting specific conditions under Rule 2a-7, which invest only in direct U.S. government treasury obligations, and/or deposited in an interest-bearing demand deposit account at a U.S.-chartered commercial bank with consolidated assets of $50 billion or more. These proceeds will remain in the trust account, except for permitted withdrawals, until the earlier of the completion of HCIC's initial business combination or the distribution of funds as described in the report.
