Canary HBAR ETF is a Delaware statutory trust organized on September 24, 2024. The Trust issues common shares, known as "Shares," which represent a fractional ownership interest in the Trust. These Shares are listed on The Nasdaq Stock Market, LLC under the ticker symbol "HBR." The Trust operates as an exchange-traded product, with its operations governed by a Trust Agreement dated October 6, 2025. Canary Capital Group LLC serves as the sponsor of the Trust. CSC Delaware Trust Company is the trustee, while U.S. Bancorp Fund Services, LLC acts as the transfer agent, administrator, and accounting agent. Paralel Distributors LLC is the marketing agent. The Trust's Hedera ("HBAR") is held by Coinbase Custody Trust Company, LLC and BitGo Trust Company, Inc., which are the custodians. U.S. Bank, N.A., an affiliate of the transfer agent and administrator, is the cash custodian. The Trust sells or redeems its Shares in blocks of 10,000 Shares, referred to as a "Basket." This is based on the quantity of HBAR attributed to each Share, after accounting for accrued but unpaid expenses and liabilities. The Trust began its operations on October 27, 2025. Prior to this date, its activities were limited to organization and the registration of Shares. On October 27, 2025, The HBAR Foundation, as the Seed Capital Investor, purchased 40,000 Shares at a price of $25 per Share.
