Visionary Holdings Inc.

Visionary Holdings Inc. was founded by Ms. Fan Zhou and incorporated on August 20, 2013, initially as 123 Natural Food Ontario Limited. The company's name was later changed to Visionary Education Technology Holdings Group Company and then to Visionary Holdings Inc. on January 30, 2024. The original goal of developing an international vocational education platform was not pursued due to market barriers and limited market scope. In 2015, the business focus shifted to international education programs for the Ontario Secondary School Diploma ("OSSD"). Ms. Fan Zhou established Zhongqing Langton (Canada) Education Technology Co., Ltd. ("Langton"), which, as a majority investor, formed Toronto ESchool Limited ("Toronto ESchool") on March 7, 2016, with non-affiliated third-party investors. Toronto ESchool provides online OSSD courses for grades 9 to 12. On November 15, 2017, Visionary Holdings Inc. acquired a 70% equity interest in Toronto ESchool. This 70% equity interest was transferred to Farvision Education Group Limited, a wholly-owned subsidiary, on June 19, 2020. Concurrent with the company's establishment on August 20, 2013, Ms. Fan Zhou also established 123 Real Estate Development Ontario Limited ("123 Real Estate") to acquire and develop educational real estate facilities. From 2013 to 2015, 123 Real Estate purchased 22.4 acres of vacant land in Peterborough, Ontario, intended for an international student dormitory center. On November 14, 2015, 123 Real Estate purchased a building at 41 Metropolitan Road, Toronto, to serve as headquarters and a teaching facility for international education. On April 1, 2019, Visionary Holdings Inc. acquired all shares of 123 Real Estate from Ms. Fan Zhou.
