Grayscale Near Trust

Grayscale Near Trust (GSNR) is an investment vehicle designed to provide investors with exposure to NEAR, the native token of the Near Protocol, in the form of a security. The Trust aims for its shares to reflect the value of the NEAR held by the Trust, minus expenses and liabilities. Shares are initially distributed through private placement transactions and become eligible for public market sale after a one-year holding period. These shares are quoted on OTC Markets under the ticker symbol "GSNR". The Near Protocol is a decentralized network of computers operating on cryptographic protocols, allowing for the exchange of NEAR tokens recorded on a public transaction ledger known as a blockchain. Grayscale Near Trust is exclusively invested in NEAR. The Trust is passively managed and has no operations; its sponsor, Grayscale Investments Sponsors, LLC, administers and manages it. While the Trust's objective is to track the NEAR market price, less fees and expenses, there is no assurance that the shares will reflect the value of the Trust's NEAR, and they may trade at substantial premiums or discounts.
