Genvor Incorporated is a company focused on sustainable agriculture through AI-accelerated peptide technology. The company, originally named Allure Worldwide, Inc., changed its name to Genvor Incorporated on June 24, 2022. Its primary business operations are conducted through its wholly-owned subsidiary, Genvor Inc., which was incorporated in Delaware on April 4, 2019, initially as Nexion Biosciences Inc., and renamed Genvor Inc. on January 22, 2020. Genvor Inc. acquired Nexion Biosciences LLC (NBLLC) in May 2019; NBLLC was formed on December 28, 2018. The company completed the acquisition of Old Genvor on May 27, 2022, through a merger where Genvor Acquisition Corp., a wholly-owned subsidiary, merged with Old Genvor. As a result, 35,261,871 shares of Company common stock were issued to Old Genvor's pre-merger shareholders. Upon the closing of the acquisition, the Company had 55,261,871 issued and outstanding common shares, and its original founding shareholders subsequently cancelled 18,144,112 shares of Company common stock.
