GENERATION INCOME PROPERTIES, INC.

Our Company is an internally managed real estate investment trust (REIT) that acquires and manages income-producing retail, office, and industrial properties. These properties are net leased to high-quality tenants in major markets across the United States. The company focuses on properties leased to investment-grade or creditworthy tenants, aiming for attractive risk-adjusted returns through current yields, long-term appreciation, and tenant renewals. The company primarily invests in single-tenant commercial properties, which it believes offer advantages over multi-tenant properties like shopping centers and malls due to generally lower management and operating capital requirements and less frequent tenant turnover. The company acquires these properties, often held in family trusts, by offering tax-deferred units that can be converted into freely tradable shares of stock, providing liquidity to owners. Prior to July 3, 2024, the company made regular cash distributions to stockholders, typically monthly, from cash available for distribution. On July 3, 2024, the Board of Directors suspended regular dividends to common shareholders and unitholders. The company's general policy is to pay distributions from cash flow from operations when possible, but distributions may also come from capital raises, borrowings, or distributions in kind. The company is organized as a Maryland corporation and has qualified and been taxed as a REIT under U.S. federal income tax laws since its taxable year ended December 31, 2021. In 2022, it formed GIP TRS Inc., a Maryland entity intended to operate as a taxable REIT subsidiary, but this subsidiary holds no assets or business operations as of the date of this Form 10-K. The company and its Operating Partnership operate using an Umbrella Partnership Real Estate Investment Trust ("UPREIT") structure.
