The company operates all financial service activities through its wholly-owned banking subsidiary, F&M Bank, which was organized in 1916. F&M Bank is a California state-chartered bank. FMCB's main source of funds is dividends and other funds received from F&M Bank. As of December 31, 2025, the company had 697,904 shares of common stock, $0.01 par value, outstanding, with no preferred stock issued or outstanding. F&M Bank has two wholly-owned subsidiaries: Farmers & Merchants Investment Corporation and Farmers/Merchants Corporation. As of December 31, 2025, Farmers & Merchants Investment Corporation was dormant. Farmers/Merchants Corporation acts as a trustee on deeds of trust originated by F&M Bank. The deposit accounts at F&M Bank are insured under the Federal Deposit Insurance Act up to applicable limits.
