Fifth Era Acquisition Corp I

Fifth Era Acquisition Corp I is a blank check company incorporated on May 22, 2024, as a Cayman Islands exempted company. Its purpose is to effect a business combination, such as a merger, amalgamation, share exchange, asset acquisition, share purchase, or reorganization, with one or more businesses. The company has not yet selected a specific business combination target and has not initiated any substantive discussions with potential targets. While it may pursue an initial business combination in any business or industry, Fifth Era Acquisition Corp I expects to focus on targets in industries that align with its management team's background. This includes technology-enabled businesses across various areas such as internet, enterprise technology, software (including artificial intelligence), fintech, and blockchain. On March 3, 2025, Fifth Era Acquisition Corp I completed its Initial Public Offering (IPO) of 23,000,000 Units, which included the full exercise of an option by the underwriters to purchase 3,000,000 Units to cover over-allotments. The Units were sold at $10.00 per Unit, generating gross proceeds of $230,000,000. Each Unit consists of one Class A Ordinary Share, with a par value of $0.0001 per share, and one right to receive one-tenth (1/10) of one Class A Ordinary Share upon the completion of an initial business combination. Concurrently with the IPO closing, the company completed a private placement of 600,000 Private Placement Units at $10.00 per Private Placement Unit with the Sponsor and the placement agent, Cantor Fitzgerald & Co.
