Farmmi, Inc. is a Cayman Islands holding company incorporated on July 28, 2015, that conducts its operations in China primarily through its foreign-owned PRC subsidiaries. The company's registered office is in Grand Cayman, Cayman Islands. Farmmi, Inc. controls Forest Food, which is no longer related to Forasen Group. The company also controls other entities that develop its e-commerce business for edible fungi products and other agricultural products. Prior to its divestiture in September 2022, FLS Mushroom was a major operating entity of the company. FLS Mushroom was previously part of the mushroom business sectors of Forasen Group, which was established in April 2003 and controlled by Ms. Yefang Zhang and Mr. Zhengyu Wang. Forasen Group's primary business areas included rubber trading, mushroom sales, biomass power generation, and marketing. Ms. Zhang and Mr. Wang began spinning off various business sectors from Forasen Group in 2010, starting with bamboo-based charcoal businesses. In 2011, they established Tantech Holdings Ltd, which completed an IPO and listed on the Nasdaq Capital Market in March 2015. Since 2015, Ms. Zhang and Mr. Wang started spinning off the edible fungi business from Forasen Group. Farmmi, Inc. completed its initial public offering in February 2018, and its Ordinary Shares began trading on Nasdaq under the symbol "FAMI."
