ESG Inc.

ESG Inc. was incorporated in October 2022 as a Nevada holding corporation, headquartered in Chadds Ford, PA. The company develops and operates sustainable plant-based ingredients and food production and distribution. ESG Inc. plans to expand into the food-related business, leveraging its management team's experience and relationships in the mushroom, agriculture, and food industries globally, as well as in the capital markets in the United States. Previously, the company was known as Plasma Innovative Inc., incorporated on July 22, 2021. Plasma Innovative Inc. initially focused on using proprietary cold plasma technology for treating crops and plant seeds in agriculture but ceased these operations. On November 6, 2023, Plasma Innovative Inc. entered into a share exchange agreement with ESG Inc. (a Nevada corporation), where 100% of ESG Inc.'s ownership was exchanged for 10,432,800 shares of common stock of Plasma Innovative Inc. This transaction was accounted for as a recapitalization, with ESG Inc. as the accounting acquirer. Following the share exchange, Plasma Innovative Inc. had 65,000,000 authorized shares of common stock and 25,899,468 issued and outstanding shares of common stock. On November 22, 2023, Plasma Innovative Inc. merged with ESG Inc., with Plasma Innovative Inc. as the surviving entity and its name changed to ESG Inc. Effective February 23, 2024, upon FINRA approval, the company's name officially changed from Plasma Innovative Inc. to ESG Inc., and its trading symbol changed from PMIN to ESGH.
