A Paradise Acquisition Corp. is a blank check company incorporated in the British Virgin Islands on November 9, 2022. The company was formed to complete a business combination, such as a merger, share exchange, asset acquisition, share purchase, recapitalization, or reorganization, with one or more businesses. While there are no restrictions on the industry or geographic region of a target business, the company intends to pursue prospective targets within the leisure and entertainment sector. On July 31, 2025, the company completed its initial public offering (IPO) of 20,000,000 units. Each unit was sold at an offering price of $10.00, generating gross proceeds of $200,000,000. Each unit consists of one Class A ordinary share and one right to receive one-eighth of one Class A ordinary share upon the completion of an initial business combination. Simultaneously with the IPO, the company completed a private placement of 600,000 private placement units. A SPAC IV (Holdings) Corp., the Sponsor, purchased 400,000 private placement units, and Cohen and Company Capital Markets, the Underwriter, purchased 200,000 private placement units. Each private placement unit consists of one Class A ordinary share and one right to receive one-eighth (1/8) of a Class A ordinary share upon the completion of an initial business combination. These private placement units are identical to the units sold in the IPO, except as otherwise disclosed in the Registration Statement.
