Evolution Metals & Technologies Corp.

Evolution Metals & Technologies Corp. (EM&T) is a holding company focused on critical materials. EM&T's primary operating subsidiary, Evolution Metals LLC (EM), was formed in February 2024 to build an integrated midstream and downstream platform. This platform focuses on recycling, processing, and manufacturing products from end-of-life materials, including rare earth elements, permanent magnets, battery metals, and precious metals. EM was organized to acquire and integrate operating businesses with commercial capabilities in critical materials recycling, metal and alloy manufacturing, and advanced materials processing. Prior to a business combination, EM acquired four corporations organized under the laws of the Republic of Korea: Handa Lab Co., Ltd., KCM Industry Co., Ltd., KMMI INC., and NS World Co., Ltd. These Korean Companies operate commercial-scale facilities producing rare earth oxides, metals, alloys, powders, and permanent magnets, forming the core operating assets of EM. On January 5, 2026, WTMA Merger Subsidiary LLC merged with EM, with EM surviving as a wholly owned subsidiary of Welsbach Technology Metals Acquisition Corp. (WTMA). Following this merger, WTMA changed its name to Evolution Metals & Technologies Corp. As a result, EM&T is a holding company whose assets are held and operations conducted through EM and its subsidiaries, including the Korean Companies. EM holds substantially all of the operating assets of the consolidated enterprise.
