Thenablers, Inc. provides crew management services to vessels globally. The company was incorporated in Nevada on November 3, 2017, initially focusing on international business development and market strategy design for clients. In October 2019, new management, including Konstantinos Galanakis (CEO), Stavros Galanakis (VP/Chairman), Christodoulos Tzoutzakis (COO/CTO), and Theodoros Chouliaras (then CFO), was appointed to promote and expand the new business of crew management services, leveraging their specific knowledge in this area. In connection with these changes, Thenablers issued 80,000,000 shares of Series A Convertible Preferred Stock to Konstantinos Galanakis, Stavros Galanakis, Aikaterini Galanaki, and Theodoros Chouliaras for an aggregate purchase price of $30,000. The company also acquired all of Elvictor Crew Management Ltd.'s business, including existing crew management contracts, with the transfer starting in the fourth quarter of 2020 and completing by the end of 2021. On July 7, 2020, a Settlement Agreement and Release was executed with the Series A Preferred Stock holders, Konstantinos Galanakis (46,702,857 shares) and Stavros Galanakis (33,297,143 shares). Under this agreement, the Preferred Holders agreed to cancel all Series A Preferred shares in exchange for 95% of the common stock held as an aggregate of the founding shareholders' holdings plus shares to be issued to the Preferred Holders upon the earliest of: a) the Company achieving pro forma 12-month revenues exceeding $3,000,000; b) successfully raising over $10,000,000 through equity or debt; or c) 9 months from the execution date. This agreement is also contingent on a non-compete agreement preventing the Preferred Holders from competing in crew and ship management.
