ECA Marcellus Trust I

ECA Marcellus Trust I is a statutory trust formed in March 2010 under the Delaware Statutory Trust Act. The Trust's offices are located at 601 Travis Street, 16th Floor, Houston, Texas 77002. The Trust was established through a Trust Agreement among Energy Corporation of America (as Trustor), The Bank of New York Mellon Trust Company, N.A. (as Trustee), and Wilmington Trust Company (as Delaware Trustee). In November 2017, Greylock Energy, LLC and its wholly owned subsidiaries, including Greylock Production, LLC and Greylock Midstream, LLC, acquired substantially all of the gas production and midstream assets of Legacy ECA. This acquisition included all of Legacy ECA's interests in natural gas properties subject to the Royalty Interests. Greylock Production, which operates the wells, assumed all of Legacy ECA's obligations under the Trust Agreement and other related instruments. These obligations included the Administrative Services Agreement dated July 7, 2010, and a letter agreement concerning loans from Legacy ECA to the Trust to cover liabilities. Greylock Midstream's subsidiaries are responsible for marketing and gathering certain gas.
