Eventbrite operates a two-sided marketplace that connects event creators and consumers for live experiences. The company's mission is to bring the world together through live experiences, helping to transform how people discover and organize events. Creators utilize Eventbrite's self-service ticketing and marketing tools to plan, promote, and sell tickets. Event seekers use the company's website and mobile application to find and purchase tickets for experiences. In 2025, Eventbrite creators hosted nearly 4.6 million free and paid events, issuing 258 million tickets on its global marketplace. This activity resulted in over $3.0 billion dollars in gross ticket sales for the year. On December 1, 2025, Eventbrite entered into a Merger Agreement with Bending Spoons US Inc., a wholly owned subsidiary of Bending Spoons S.p.A., and Everest Merger Sub Inc. The Merger Agreement outlined that Merger Sub would merge with and into Eventbrite, with Eventbrite surviving as a wholly owned subsidiary of Bending Spoons. Eventbrite's Board of Directors unanimously approved the Merger and the Merger Agreement. On February 27, 2026, Eventbrite's stockholders approved the Merger, which was consummated on March 10, 2026. As a result, each share of Eventbrite's Class A common stock and Class B common stock outstanding immediately prior to the Merger was converted into the right to receive $4.50 in cash, without interest and subject to applicable withholding taxes.
