Decent Holding Inc.

Decent Cayman is a holding company that conducts its operations in China primarily through its Operating Subsidiary in the People's Republic of China (PRC). Decent Cayman was incorporated on January 6, 2022, and is not actively engaged in any business as of the date of this annual report. It is authorized to issue 500,000,000 shares of a par value of US$0.0001 each, consisting of 495,000,000 Class A ordinary shares and 5,000,000 Class B ordinary shares, each with a par value of US$0.0001. Decent HK, a wholly-owned subsidiary of Decent Cayman, was incorporated on February 24, 2022, under the laws of Hong Kong and is also a holding company with no operations. WFOE, a wholly-owned subsidiary of Decent HK, was incorporated on September 30, 2022, under the laws of the People's Republic of China and is a holding company with no operations. Decent China, a limited liability company, was incorporated on September 5, 2011, under the laws of the People's Republic of China. The company and its subsidiaries do not currently use, nor intend to have, a variable interest entity structure. On January 23, 2025, Decent Cayman completed its initial public offering on the Nasdaq Capital Market, issuing 1,250,000 ordinary shares, par value $0.0001 per share, at a price of $4.00 per share.
