Delek Logistics Partners, LP

Delek Logistics Partners, LP is a Delaware limited partnership formed in 2012. The Partnership provides gathering, processing, pipeline, and other transportation services primarily for crude oil and natural gas customers. It also offers storage, wholesale marketing, and terminalling services mainly for intermediate and refined product customers, alongside water disposal and recycling services. These services are delivered through its owned assets and joint ventures, primarily located in the Permian Basin (including the Delaware sub-basin) and select areas in the Gulf Coast region. A significant portion of the Partnership's existing assets are integral to and dependent on Delek US Holdings, Inc.'s refining operations. Many of these assets are contracted exclusively to Delek Holdings, supporting its Tyler, Texas (the "Tyler Refinery"), El Dorado, Arkansas (the "El Dorado Refinery"), and Big Spring, Texas (the "Big Spring Refinery") refineries, collectively known as the "Delek Refineries." The Partnership is not a taxable entity for federal income tax purposes or for income taxes in states that follow federal income tax treatment for partnerships. Instead, each partner is responsible for reporting their share of income, gain, loss, and deduction for federal and state income tax liabilities.
