CareTrust REIT is a self-administered, publicly-traded real estate investment trust (REIT) that owns, acquires, finances, develops, and leases skilled nursing, senior housing, and other healthcare-related properties. As of December 31, 2025, CareTrust REIT owned and leased to independent operators 407 skilled nursing facilities, senior housing communities, and other properties, directly or indirectly in consolidated joint ventures. These properties consist of 37,628 operational beds and units located in 32 states and the United Kingdom, with the highest concentration of properties by rental income in California, the U.K., Texas, and Tennessee. As of December 31, 2025, the company also held other real estate related investments, including four preferred equity investments, 16 real estate secured loans receivable with a carrying value of $899.3 million, and five mezzanine loans receivable with a carrying value of $899.3 million, along with one financing receivable with a carrying value of $92.2 million. During the fourth quarter of 2025, CareTrust REIT began using the REIT Investment Diversification and Empowerment Act of 2007 (RIDEA) structure to establish a senior housing operating portfolio (SHOP) platform, completing its first SHOP acquisition in December 2025. As of December 31, 2025, CareTrust REIT also indirectly owned, in consolidated joint ventures, the properties and operations of three senior housing communities with 270 units in Texas, managed by independent managers. The company primarily generates revenue by leasing healthcare-related properties to healthcare operators through triple-net lease arrangements, where the tenant is responsible for property costs (including property taxes, insurance, maintenance, repair, and capital expenditures, with some exceptions for properties leased to Ensign and Pennant). CareTrust REIT also extends secured mortgage loans and secured mezzanine loans to healthcare operators and invests in preferred equity investments.
