Crown Reserve Acquisition Corp. I

Crown Reserve Acquisition Corp. I is a blank check company incorporated in the Cayman Islands on April 29, 2025. The company was formed to complete a business combination, such as a merger, capital stock exchange, asset acquisition, stock purchase, or reorganization, with one or more businesses. On November 10, 2025, Crown Reserve completed its Initial Public Offering (IPO), selling 17,250,000 units at $10.00 per unit, which generated gross proceeds of $172,500,000. Each unit included one Class A ordinary share, one-half of one redeemable warrant, and one right. Each whole warrant allows the holder to buy one Class A ordinary share at $11.50 per share, and each right entitles the holder to receive 0.20 of a Class A ordinary share upon the completion of a business combination. Concurrently with the IPO closing, the company privately sold 375,000 Private Placement Units at $8.00 per unit, generating proceeds of $3,000,000. Of these, 175,000 units were bought by the company's Sponsor and 200,000 units by Polaris Advisory Partners. Each Private Placement Unit consisted of one Class A ordinary share, one-half of one Private Placement Warrant, and one Private Placement Right. After the IPO, $172,500,000 from the net proceeds of the IPO and the Private Placement were deposited into a Trust Account. As of December 31, 2025, the Trust Account contained $173,403,838, which included $903,838 in dividends earned from trust investments.
