(2005), and Naerodynamics, Inc. (2008). In January 2020, the company redomiciled to Delaware and changed its name to NDYN Merger Corp. In February 2020, NDYN Merger Corp. underwent a Holding Company Reorganization and changed its name to Vinings Holdings, Inc. Effective July 12, 2021, the corporate name changed to "Coeptis Therapeutics, Inc." and its trading symbol changed to "COEP." On February 12, 2021, Coeptis Acquisition Sub, Inc., a wholly-owned subsidiary, merged with Coeptis Pharmaceuticals, Inc. (Acquired Coeptis). As a result of this merger, Coeptis Therapeutics, Inc. acquired the business of Acquired Coeptis and continues its existing business operations as a wholly-owned subsidiary. All outstanding shares of Acquired Coeptis common stock converted on a 1-for-1 basis into shares of the company's common stock at the closing of the merger. Prior to this merger, the company was a "shell company." The business descriptions in this Annual Report on Form 10-K relate to the historical business operations of Acquired Coeptis.
