CNL Healthcare Properties, Inc. is a Maryland corporation that operates as a real estate investment trust (REIT) for U.S. federal income tax purposes. The company holds substantially all of its assets and conducts all operations, directly or indirectly, through its Operating Partnership, CHP Partners LP, where it is the sole limited partner and its wholly owned subsidiary, CHP GP, LLC, is the sole general partner. Operations also run through a wholly owned taxable REIT subsidiary, CHP TRS Holding, Inc., property owner subsidiaries, lender subsidiaries, which are single purpose entities, and through November 1, 2024, an investment in a consolidated joint venture. The company completed its public offerings and in October 2015, deregistered unsold shares of common stock under a previous registration statement on Form S-11, except for 20 million shares registered on Form S-3 for the sale of additional common stock through its distribution reinvestment plan. Effective July 11, 2018, the company suspended its Reinvestment Plan, and participants now receive cash distributions instead of additional shares of common stock. CNL Healthcare Properties is externally managed and advised by CNL Healthcare Corp., an affiliate of CNL Financial Group, LLC. The company's offices are located in Orlando, Florida.
