CapForce Inc. was incorporated in Delaware in 2001. From its inception through November 2023, the company operated as a precision medicine company. It utilized molecular diagnostics and informatics to address infectious diseases. The company, along with its subsidiaries Curetis GmbH and Ares Genetics GmbH, developed and commercialized molecular microbiology solutions. These solutions aimed to provide clinicians with faster and more actionable information on life-threatening infections, intending to improve patient outcomes and reduce the spread of infections caused by multidrug-resistant microorganisms (MDROs). In November 2023, CapForce Inc. implemented cash management initiatives, restructuring its U.S. operations by reducing headcount and scaling down its U.S. headquarters to core functions required for a U.S. Nasdaq listed company. Subsequently, Curetis and Ares Genetics filed for insolvency. As a result, insolvency administrators took control of their assets and liabilities, leading to the deconsolidation of these subsidiaries from CapForce Inc.'s financial statements. In April 2024, all of Curetis' assets were sold to Camtech Pte Ltd., and all of Ares Genetics' assets were sold to bioMerieux S.A. In March 2024, CapForce Inc. entered into a securities purchase agreement with David E. Lazar.
