Concurrently, The Muncy Bank & Trust Company merged into First Columbia Bank & Trust Co., with First Columbia Bank & Trust Co. surviving and changing its name to Journey Bank. The total purchase consideration for the merger was $55.1 million, consisting of 1,488,960 shares of the corporation's common stock valued at $55,092,000 and $9,000 in cash for fractional shares. Former holders of Muncy Bank Financial, Inc. common stock owned approximately 41.7% of the corporation's common stock immediately after the merger. Journey Bank is a state-chartered, nonmember bank with deposits insured by the FDIC.
