Santech is a technology company that develops, operates, and scales early-stage technology businesses. The company currently focuses on e-commerce, digital assets, and consumer healthcare, and may explore other consumer and enterprise technology opportunities. Santech identifies and nurtures high-potential early-stage technology ventures. As of the date of this annual report, Santech no longer has operations, offices, or employees in China, having ceased to be a "China concept stock." The company underwent corporate restructuring in 2024 and 2025. On June 28, 2024, Santech exited the wealth management business in China by terminating contractual arrangements with its major variable interest entity in China. For the years ended June 30, 2023, 2024, and 2025, Santech's primary businesses reported in its financial statements were overseas wealth management and asset management conducted in Hong Kong. On August 14, 2024, Santech further restructured by exiting its overseas wealth management and asset management businesses. This involved disposing of certain Hong Kong subsidiaries: Haiyin Insurance (Hong Kong) Co., Limited and Hywin International Insurance Broker Limited for nil consideration, and Haiyin International Asset Management Limited and Hywin Asset Management (Hong Kong) Limited for $0.6 million. Following these disposals, Santech no longer holds financial service licenses in Hong Kong.
