Bit Digital, Inc. is a holding company incorporated in the Cayman Islands on February 17, 2017. The company focuses on active participation in Ethereum (ETH)-native treasury and staking strategies. Through its majority equity stake in WhiteFiber Inc., Bit Digital also operates in the high performance computing (HPC) business, which includes cloud services and HPC data center services. WhiteFiber completed its initial public offering (IPO) of ordinary shares on August 8, 2025. Prior to the IPO, Bit Digital contributed its HPC business to WhiteFiber. This involved transferring 100% of the capital shares of its cloud services subsidiary, WhiteFiber AI, Inc., and its wholly-owned subsidiaries WhiteFiber HPC, Inc., WhiteFiber Canada, Inc., WhiteFiber Japan G.K., and WhiteFiber Iceland, ehf, to WhiteFiber. In exchange, Bit Digital received 27,043,749 ordinary shares of WhiteFiber. This transfer, effective August 6, 2025, resulted in WhiteFiber AI becoming a wholly-owned subsidiary of WhiteFiber, and Bit Digital becoming a direct shareholder of WhiteFiber. As of the date of this Form 10-K, Bit Digital owns approximately 70.5% of WhiteFiber. WhiteFiber Iceland ehf, incorporated on August 17, 2023, is directly and wholly-owned by WhiteFiber AI and provides cloud services from a data center in Blönduόs, Iceland. WhiteFiber AI, Inc., incorporated on October 19, 2023, engages in cloud services for AI applications through its wholly-owned subsidiaries.
