Byrn, Inc. is a Nevada corporation formed in April 2011 as an emerging healthcare knowledge solution company. The company's initial purpose was to transform health and healthcare by developing a standard for measuring clinical performance and outcomes. Byrn, Inc. developed medical software that included tools and analytics designed to reduce costs while improving clinical performance, outcomes, predictive insight, and evidence-based best clinical processes. The company was dormant from March 22, 2013, through December 26, 2019. On December 27, 2019, Custodian Ventures, LLC was appointed as the custodian of Byrn, Inc. by the Nevada Court. On December 31, 2019, Mr. Lazar became the sole Director and Officer, serving as President, Treasurer, and Secretary. On April 5, 2020, Mr. Lazar was granted 10,000,000 preferred shares with super-voting rights of 21,000,000,000 common shares, with each preferred share convertible into 250 shares of common stock. On September 10, 2020, the company filed a Certificate of Designation in Nevada, changing the conversion and voting rights of its Series A preferred stock, $.001 par value per share, to 250 for each one (1) share of Series A preferred stock. On September 23, 2020, 10,000,000 shares of Series A Convertible Preferred Stock, $0.001 par value per share, were transferred from Custodian Ventures, LLC to FiveT Capital Holding AG in a private transaction.
