We are a blank check company, incorporated in the Cayman Islands, established to complete a merger, share exchange, asset acquisition, share purchase, reorganization, or similar business combination with one or more businesses or assets. While we may pursue an initial business combination in any industry, we are focused on identifying a target in the entertainment industry, specifically enabling technology, lifestyle brands, products, or services, and entertainment media. We also see opportunities in sectors aligned with the digitization of financial infrastructure and at the intersection of entertainment and digital infrastructure. Our founder and sponsor, Black Spade Capital Limited, is the private investment arm of Mr. Lawrence Ho. Mr. Ho has been the chairman and chief executive officer of Melco International Development Limited, listed on the Stock Exchange of Hong Kong, since March 2006. He is also currently the chairman and chief executive officer of Melco Resorts & Entertainment Limited, listed on the NASDAQ Global Select Market, and a director of Studio City International Holdings Limited, listed on the New York Stock Exchange.
