Burke & Herbert Financial Services Corp. is a Virginia corporation organized in 2022, operating as the holding company for Burke & Herbert Bank & Trust Company. The Company began operations as a bank holding company on October 1, 2022, after acquiring control of the Bank through an internal reorganization where all Bank shareholders became Company shareholders. The Company's primary function is owning the Bank, as it has no other material operations. In September 2023, the Company became a financial holding company. As such, it is regulated, supervised, and examined by the Board of Governors of the Federal Reserve System and the Bureau of Financial Institutions of the Virginia State Corporation Commission. The Bank is a Virginia-chartered commercial bank that started operations in 1852. The Bank became a member of the Federal Reserve System on December 31, 2024, and is regulated, supervised, and examined by the Federal Reserve (through the Federal Reserve Bank of Richmond) and the Virginia BFI. The Company is authorized to issue 40,000,000 shares of common stock, par value $0.50 per share, with 15,038,857 shares outstanding as of the date of this Form 10-K. It is also authorized to issue up to 2,000,000 shares of serial preferred stock, par value $1.00, with 1,500 outstanding shares of Burke & Herbert Series 2021 Preferred Stock as of the date of this Form 10-K. These share amounts reflect a forty-for-one common stock split effective November 15, 2022.
