Both TGE SpiderNet Capital Group LLC and TGE are ultimately controlled by AMTD Group. As of the date of this Annual Report, AMTD Group beneficially owns approximately 77.9% of the equity interests and 91.8% of the aggregate voting power of the total issued and outstanding share capital of TGE SpiderNet Capital Group LLC, and approximately 77.9% of the equity interests and 91.8% of the aggregate voting power of the total issued and outstanding share capital of TGE. The board of directors of TGE consists of Ms. Joanne Shoveller, Mr. Raymond Yung, and Dr. Feridun Hamdullahpur. The board of directors of AMTD Group consists of Mr. Marcellus Wong and Dr. Feridun Hamdullahpur, and no shareholder holds more than 20% of AMTD Group's equity interests. TGE Value Creative Solutions Corp intends to use AMTD's operational track record, investment expertise, and long-term capital base to enhance the value of its future partner.
